Managing Principal Rebecca Kirk Fair will join Tom Dillickrath, Partner, Baker Botts LLP, and Fiona Scott Morton, Former Deputy Assistant Attorney General for Economics, U.S. Department of Justice Antitrust Division, and Professor, Yale School of Management, to discuss how recent cases, such as those involving BazaarVoice, St. Luke's Idaho, and Promedica, have demonstrated that no deal is too small for the FTC to investigate. The panel will focus on the BazaarVoice case, along with the following issues:

  • What makes the antitrust enforcers look at a merger deal and how it relates to parties' size and industry
  • What impact (if any) the post-merger behavior has on the outcome of a challenge
  • What role customer testimony in support of a defendant plays in an antitrust proceeding
  • What constitutes a credible entry threat in the context of competition
